Matthew C. Cohn joined Evans & Luptak as an associate in 2008. His practice focuses on corporate, limited liability company and partnership law, real estate development and finance, mergers and acquisitions, financial and commercial transaction, tax matters, and intellectual property protection. Prior to joining the firm, Mr. Cohn was in-house counsel for a metro Detroit real estate investment and construction company where he provided general corporate governance for a real estate investment and remodeling controlled group with a multimillion dollar portfolio, administered organizational design, operating agreements, and policy manuals, and drafted and negotiated construction contracts, key employee contracts, commitment letters, notes, and mortgages. Prior to graduating law school, Mr. Cohn was a summer clerk for the Hon. Marilyn Kelly of the Michigan Supreme Court. Mr. Cohn received his J.D. from Washington University in St. Louis School of Law, and his B.S. in Classical Archaeology from the University of Michigan in Ann Arbor. Mr. Cohn is a 2011 candidate for an LL.M. in taxation from Wayne State University. Mr. Cohn was born and raised in Lafayette Park and Huntington Woods and is licensed to practice law in the State of Michigan. Several notable outcomes include: Represented the second-largest US appliance parts distributorship in numerous multi-million dollar mergers and acquisitions throughout the United States. Responsibilites included real estate and corporate due diligence, closing document workflow, and condition clearing with major bank lender. Represented a New York-based real estate investor in the refinancing of its mortgage loan with §§207/223(f) HUD insurance for its assisted living facility in Macomb County, Michigan. Primarily responsible for the removal of an antiquated public works drain easement that encroached upon the subject property. Represented a local bank in the 3-way purchase and sale of two portfolios of commercial loans with Evans & Luptak having primary drafting responsibility. Obtained foreclosure on all security interests and substantial payment on guaranties for local receiver bank on a portfolio of related loans purchased from FDIC receivership. Successfully defended a 4-time felon against charges of CSC-2 and kidnapping in a pro bono representation. Defendant was facing a mandatory sentence of life imprisonment due to his prior non-violent felonies. Obtained a pretrial dismissal of kidnapping charge that led to a plea bargain of indecent exposure with a jail term of 240 days with 120 days credit for time already served. |
