A major area of Evans & Luptak’s practice includes complete representation in all aspects of real estate activity from basic to complex transactions.  Our representation includes clients who acquire and develop their first project as well as national developers who are involved with highly sophisticated real estate transactions.  The real estate services are provided for all types of real estate products, including office buildings, shopping centers, apartments developments, condominiums, industrial parks, subdivision development and housing operations.  The firm represents developers, architects, builders, contractors, subcontractors, materialmen, as well as condominiums and co-operatives.

Real Estate Financing

The firm has extensive experience in all aspects of real estate financing, such as submission and negotiation of loan applications, commitments, and mortgage documents.  Lending experience includes loans for acquisition, construction, interim, term, permanent and refinancing transactions with major life insurance companies, banks, pension funds, and negotiation and structuring of wrap-around mortgages, sale-leaseback transactions, participating loans, subordinated financing, and government sponsored financing.

Leasing

Lease negotiations and drafting on behalf of both landlords and tenants is also an active area of practice.  Such leasing activity involves commercial shopping center space, office and apartment leasing.  Commercial leases, including ground leases and sales/leaseback transactions, have been negotiated for free-standing buildings, office buildings and strip and regional shopping centers and industrial parks.  Lease transactions include options to expand, give back space, early termination, options to extend, and master leases for financing and operating leases.

Development Process

Full services are provided to clients initiating real estate projects from inception to completion.  The firm has assisted the preparation of project packages and development proposals and presentation to governmental entities in connection with zoning and site planning and environmental impact.  Representation includes negotiating and preparation of joint access agreements, cross easements, joint operating agreements, development agreements, utility and other public service agreements, property tax abatements and exemptions and regular representation of clients in building permits, variance and enforcement proceedings before state and federal agencies and local community groups.

Development Entities

Evans & Luptak is experienced in designing ownership structures and preparing the documentation necessary to organize the development team.  This includes preparation of joint venture agreements, limited and general partnership agreements, and limited liability company agreements between land owners and developers and institutional lender-partners, as well as drafting condominium and co-operative documents.
